These Terms of Service (“Terms”) govern your access to and use of the Spoken platform operated by ON Industries Pty Ltd ABN 55 643 560 856 (“Spoken”, “we”, “us”, “our”), a company registered in New South Wales, Australia.

By creating an account or using Spoken, you agree to these Terms. If you do not agree, do not use the platform.

1. The Service

Spoken is a software platform that converts written newsletter content into audio episodes using AI voice technology, including AI voice cloning. The platform allows creators to generate, host, and share audio versions of their newsletters.

2. Eligibility

You must be at least 18 years old to use Spoken. By using the platform you represent and warrant that you are 18 or older.

Spoken is not available in jurisdictions where use of AI voice cloning technology is prohibited by law.

3. Account Registration

You must provide accurate and complete information when creating your account. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorised access to your account at support@spokenhq.com.

You may not create accounts for others without their explicit permission or create multiple accounts to circumvent plan limits.

4. Plans, Billing, and Payment

4.1 Plans

Spoken offers a free plan and paid subscription plans as described on our pricing page. Plan features and limits are subject to change with reasonable notice.

4.2 Billing

Paid plans are billed monthly. Your subscription automatically renews each month unless cancelled. We use Stripe for payment processing. By providing payment information you authorise us to charge your payment method for the applicable subscription fees.

4.3 Overages

If you exceed your plan's monthly episode limit, additional episodes are charged at the overage rate for your plan. Overage charges are added to your next monthly invoice. You will be notified before overage charges are incurred.

4.4 Cancellation

You may cancel your subscription at any time from your account settings. Your subscription remains active until the end of the current billing period. No refunds are provided for partial months.

4.5 Refunds

We do not offer refunds except where required by Australian Consumer Law or other applicable law. If you believe you are entitled to a refund, contact support@spokenhq.com.

5. Voice Cloning — Special Terms

5.1 Consent and Eligibility

By creating a voice clone on Spoken you represent and warrant that:

  • The voice being cloned is your own voice
  • You are the sole owner of all rights to that voice
  • You are 18 years of age or older
  • You have not and will not use Spoken to clone the voice of any other person without their explicit written consent
  • Your use of voice cloning complies with all applicable laws in your jurisdiction

5.2 Permitted Use

Your voice clone may only be used within the Spoken platform to generate audio versions of your own original newsletter content.

5.3 Prohibited Use

You may not use Spoken's voice cloning to:

  • Clone the voice of any other person without their explicit written consent
  • Create audio content that impersonates, defames, or misleads listeners about the identity of the speaker
  • Generate content that is false, misleading, or fraudulent
  • Violate any applicable laws regarding voice cloning, deepfakes, or synthetic media

5.4 Ownership

You retain ownership of your voice and any recordings you submit. You grant Spoken a limited licence to process your voice recording solely for the purpose of creating and operating your voice clone within the platform.

5.5 Deletion

You may delete your voice clone at any time from your account settings. See our Privacy Policy for retention details.

6. Content and Intellectual Property

6.1 Your Content

You retain all intellectual property rights in the newsletter content you submit to Spoken and the audio episodes generated from that content. You grant Spoken a limited licence to store, process, and deliver your content for the purpose of operating the platform.

6.2 Our Platform

All rights in the Spoken platform, including software, design, trademarks, and brand assets, are owned by ON Industries Pty Ltd. You may not copy, modify, or distribute our platform or brand assets without written permission.

6.3 Prohibited Content

You may not submit content that:

  • Infringes any third party's intellectual property rights
  • Is defamatory, harassing, or threatening
  • Contains malware or malicious code
  • Violates any applicable law
  • Constitutes spam or unsolicited commercial communications

7. Acceptable Use

You agree not to:

  • Use the platform for any unlawful purpose
  • Attempt to gain unauthorised access to any part of the platform
  • Interfere with or disrupt the platform or its servers
  • Circumvent any technical limits or access controls
  • Reverse engineer or attempt to extract source code
  • Use automated means to access the platform except through our official API where available
  • Resell or sublicense access to the platform

8. Availability and Support

We aim to maintain high platform availability but do not guarantee uninterrupted service. We may perform maintenance that temporarily affects availability. We will provide reasonable notice of planned maintenance where possible.

Support is provided via support@spokenhq.com. We aim to respond to support requests within 2 business days.

9. Termination

9.1 By You

You may close your account at any time from your settings page.

9.2 By Us

We may suspend or terminate your account immediately if you violate these Terms, particularly the voice cloning provisions, or if your use creates legal risk for Spoken or third parties. We will provide notice where reasonably practicable.

9.3 Effect of Termination

Upon termination, your right to use the platform ceases immediately. Your data will be handled as described in our Privacy Policy.

10. Disclaimers and Limitation of Liability

10.1 Disclaimer

The platform is provided “as is” without warranties of any kind except as required by Australian Consumer Law. We do not warrant that the platform will be error-free or that AI-generated audio will meet your specific requirements.

10.2 Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition, implied or imposed by the Australian Consumer Law that cannot lawfully be excluded or limited.

10.3 Limitation of Liability

To the maximum extent permitted by law, our total liability to you for any claim arising from your use of Spoken is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.

11. Indemnification

You agree to indemnify and hold harmless ON Industries Pty Ltd and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the platform, your content, your voice cloning activities, or your violation of these Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of New South Wales, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.

If you are an EU or UK consumer, you may also have rights under the laws of your local jurisdiction that cannot be excluded by this clause.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the platform after changes take effect constitutes acceptance.
